NexCloud Enterprises — Terms of Service (ToS)

Governing Division: Trust & Safety Directorate. These Terms govern all digital services, hosting infrastructure, APIs, and compliance portals operated by NexCloud Enterprises.

1. Acceptance of Terms & Ecosystem Scope

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Tenant," or "Customer") and NexCloud Enterprises ("Company," "we," "us," or "our").

By accessing or utilizing any digital services, web applications, hosting infrastructure, APIs, game servers, or compliance portals operated by NexCloud Enterprises—including but not limited to Nexfinity Hosting, VINOA Platform, SafetyHub, and the ThreatHalo Intelligence Network—you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you are entering into these Terms on behalf of an entity, organization, or project, you represent and warrant that you possess the legal authority to bind such entity to these Terms.

2. Eligibility & Account Security

Minimum Age Requirement

You must be at least thirteen (13) years of age to access general platform services or create an account. Provisioning cloud infrastructure requires you to be at least sixteen (16) years of age or possess authorized parental/guardian consent.

Credential Integrity

You are solely responsible for safeguarding your login credentials, API tokens, and session authenticators. Any action performed under your authenticated account is deemed to have been executed by you.

Notification of Breach

You agree to notify the Trust & Safety Directorate immediately at abuse@nexcloud.enterprises if you detect unauthorized access or security compromises involving your account.

3. Acceptable Use & Prohibited Conduct

You agree not to misuse NexCloud Enterprises infrastructure or assist any third party in doing so. Prohibited activities strictly include:

Network Abuse & Attacks

Initiating or facilitating Denial of Service (DoS/DDoS) attacks, port scanning, unauthorized vulnerability probing, botnets, or brute-force activities against platform infrastructure or external networks.

Malicious Payloads & Malware

Deploying, hosting, or distributing malware, ransomware, spyware, trojans, rootkits, or automated credential stuffers.

Unlawful & Harmful Content

Storing, transmitting, or facilitating material that violates applicable criminal statutes, including Child Sexual Abuse Material (CSAM), non-consensual imagery, violent extremism, or targeted harassment.

Resource Exhaustion & Quota Bypass

Running unapproved cryptominers, unauthorized high-concurrency stress scripts, or processes designed to bypass container resource quotas.

4. Statutory DMCA Safe Harbor & Repeat Infringer Policy (17 U.S.C. § 512 & EU DSA Art. 16)

NexCloud Enterprises operates in strict compliance with Title II of the Digital Millennium Copyright Act (17 U.S.C. § 512) and the EU Digital Services Act (DSA Art. 16).

Repeat Infringer Policy (17 U.S.C. § 512(i))

NexCloud Enterprises maintains and expeditiously enforces a strict policy that provides for the termination, in appropriate circumstances, of subscribers, tenants, and account holders who are determined to be repeat copyright infringers.

Counter-Notification & Administrative Appeals (17 U.S.C. § 512(g)(3))

Affected parties who receive a takedown notification may submit a statutory counter-notice or administrative case appeal via our Online Appeal Portal.

5. Enforcement, Suspension, & Termination

NexCloud Enterprises reserves the right, through its Trust & Safety Directorate, to investigate suspected violations of these Terms. We reserve the unilateral right to:

  • Quarantine, isolate, or delete violating tenant workloads, files, or database instances.
  • Issue temporary sanctions, API throttling, or global infrastructure blacklists.
  • Terminate services immediately in cases involving active network threats, malicious exploitation, or statutory non-compliance.

6. Disclaimer of Warranties & Limitation of Liability

ALL SERVICES, PLATFORMS, AND INFRASTRUCTURE PROVIDED BY NEXCLOUD ENTERPRISES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

IN NO EVENT SHALL NEXCLOUD ENTERPRISES, ITS OPERATOR, OR STAFF BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES.

7. Modifications & Governance Contact

We reserve the right to revise these Terms at our discretion. Continued use of our platforms following updates constitutes acceptance of the modified Terms.
